Seward Peninsula Amateur Radio Club (SPARC)

Articles

1). The Club will be known as "Seward Peninsula Amateur Radio Club" (S.P.A.R.C.).

2). Meetings will be held every month. Monday of every other month. Special Meetings may be called by the President or 50% of the membership. Official Business of the Club may be conducted at special meetings.

3). "Election of Officers" will be held during the January meeting. Elected Officers will be President, Vice President, Secretary and Treasurer. An individual may not hold more than one office at a time. The term of office will be for one calendar year. Officers may serve one additional term in succession, (two years maximum) An Officer must be a voting member.

4). Membership dues will be fifty dollars ($50.00) per year per household. (The club has an open membership policy meaning that anyone may join S.P.A.R.C. (along with all household members)). Dues will be considered paid for a period of one year when the funds are received by the Treasury.

5). The right to vote is extended only to members who have a valid "Amateur Radio License" and are "Members of S.P. A.R.C. in Good Standing", (a valid "Amateur Radio License" means a current, valid amateur radio license issued by the Federal Communications Commission or recognized by the Federal Communications Commission) (a "Member of S.P.A.R.C. in Good Standing" means an individual member or household member that has paid their dues for the current year).

6). A quorum is required to conduct business. A quorum consists of a number of present voting members, regardless of where they live, that is greater than a number ) calculated as one-third the number of members known to reside and be in Nome, Alaska.

For the purposes of amending by-laws, the required quorum consists of a number of present voting members, regardless of where they live, that is greater than a number calculated as one-half the number of members known to reside and be in Nome, Alaska.

Proxies are not allowed.

7). Club business will be conducted according to "Robert's Rules of Order".

8). The club may be dissolved by a majority vote of all members.

DUTIES

PRESIDENT (S.P.A.R.C.)

The duties of the President include officiating all meetings of the Club. The President has authority to appoint "Special Committees" as he (she) feels appropriate. The President is a member (not necessarily Chairman) of all committees. The President has authority to call "Special Meetings". The President has authority to make "Official News Releases". The President is a Signatory on the Club's "Official Saving or Checking Account(s)" (one of the two signatures required). The President votes on motions before the Club.

The President may call an "Executive Committee Meeting" for the purpose of discussing working problems of the organization but NOT for discussing "Official Club Business". The President is Chairman of the "Executive Committee" and votes on the "Executive Committee".

The President can not "Call the Meeting to Order" until the Secretary reports a "Quorum" is available to conduct "Official Business" of the Club. The President Can Not make a motion before the Club.

VICE PRESIDENT (S.P.A.R.C.)

The duties of the Vice President are to act as the President during his absence. The Vice President assists the President as the President deems necessary. The Vice President may be assigned Special Projects by the President. The Vice President may sit in for the President on Committees (etc..) when requested by the President. The Vice President serves and votes on the "Executive Committee". The Vice President may vote and make motions. The Vice President may not make a motion before the Club while acting as President. The Vice President is empowered and restricted by the same rules as the President when Acting as President.

SECRETARY (S.P.A.R.C.)

The Secretary takes and maintains the "Official Minutes" of the Club. The Secretary maintains the "Official Membership Records". The Secretary reports to the President when a "Quorum" is available to conduct the "Official Business" of the Club. The Secretary Certifies all "Proxy Votes" served upon him by members. The Secretary notifies the members of meetings (Regular or Special). The Secretary handles the routine correspondence for the Club. The Secretary maintains a key to the "Official Mailbox" (Box 1982). The Secretary removes mail from the "Official Mailbox". The Secretary-distributes mail received to other Club members. The Secretary maintains the "Official Files" of the Club. The Secretary serves and votes on the "Executive Committee". The Secretary may vote and make motions.

TREASURER (S.P.A.R.C.)

The Treasurer maintains the "Official Financial Records" of the Club. The Treasurer receives all funds from all sources and issues receipts as required. The Treasurer is a Signatory on the Club's "Official Saving or Checking Account(s)" (one of the two signatures required). The Treasurer reports ALL financial activities to the members at ALL "Official Meetings". The Treasurer makes all checks and pays all bills approved by the members during an "Official Meeting" of the Club. The Treasurer MAY NOT distribute ANY funds that have not been approved and passed in a motion during an "Official Meeting" of the Club. The Treasurer serves and votes on the "Executive Committee". The Treasurer may vote and make motions.

INDIVIDUAL CLUB MEMBERS (S.P.A.R.C.)

The Members are required to attend and participate in Club activities and meetings when possible. Members may persuade other Members to support their ideas. Members may discuss Club business among themselves. Members who hold a current "Amateur Radio License" and are "Members of S.P.A.R.C. in Good Standing" may vote. It is the intent to keep the power of this organization in its individual members. Officers of this organization have restrictions imposed that are not imposed on Individual Club Members.

Individual Club Members may not make press releases or speak officially for the Club.

Executive Committee (S.P.A.R.C.) Pres., V-Pres., Sec., Treas. & P R Officer

The "Executive Committee" may organize and coordinate routine matters of the Club. The "Executive Committee" works on Clerical / Custodial type Club Business. Detailed minutes of the "Executive Committees" meetings must be kept and made available to all members upon request. The "Executive Committee" may resolve disputes when requested by a "Motion" during an "Official Meeting" of the Club (minutes will not be kept on disputes). The "Executive Committees" decision will be final on disputes. The "Executive Committee" may recommend changes to "Officer's Duties" from time to time but no changes will take effect until voted upon by the Club membership during an "Official Meeting" of the Club.

PUBLIC RELATIONS OFFICER (S.P.A.R.C.)

The duties of the Public Relations Officer is to promote good will of Amateur Radio and The S.P.A.R.C. Club. He represents the Clubs "Official Position" to other organizations and individual within our community. The Public Relations Officer is the "Official Representative" of S.P.A.R.C. at other organizations meetings. The Public Relations Officer may make "Official Press Releases" when approved by the President. The Public Relations Officer helps to coordinate S.P.A.R.C.s activities with other organization's activities within our community. The Public Relations Officer reports his "Official Activities" at Club meetings. The Public Relations Officer requests guidance from the Club on the "Clubs Official Position". The Public Relations Officer is not an elected official of S.P.A.R.C. but is supported by a "Vote of Confidence" from time to time from the Members. The Public Relations Officer serves and votes on the "Executive Committee". The Public Relations Officer may vote and make motions.

He is held to possibly a Higher Ethics Standard than the Elected Officials of the Club. He represents us all to others in our community.
